Declaration of Compliance

New Chemical Trading Co., Ltd. has developed and implements the ‘Compliance Policy’ in order to comply with relevant laws, regulations and rules, and to fulfill our social responsibility with high ethical standards.
We act to meet the expectations of society, our clients, and our employees not only with respect to products and services, but also compliance.
 

Compliance Policy

  1. Compliance with laws and regulations and social norms, and the establishment of an appropriate system (for the maintenance of high ethical standards)

    (1) Prohibition of corruption, bribery, etc.

    We comply with domestic and foreign laws and regulations concerning anti-corruption, including the Unfair Competition Prevention Act, the Foreign Corrupt Practices Act (FCPA), and the United Kingdom Bribery Act (UKBA); maintain sound and normal relationships with political and administrative organizations; do not become involved in corruption; and do not commit any act of corruption such as bribery or illegal political contributions. We also do not commit extortion, embezzlement, or any other similar act.


    (2) Prohibition of provision and receipt of improper profits

    We do not provide, receive, or offer or promise to provide or receive, anything of value to or from stakeholders with the aim of gaining business deals or obtaining improper profits.


    (3) Prohibition of money laundering

    We do business only with clients who are clearly engaged in actual business activities and funded by legitimate sources. We also practice proper management to prevent, detect, and respond to money laundering risks.


    (4) Proper import and export control

    We comply with the Foreign Exchange and Foreign Trade Act, the Economic Security Promotion Act, and other laws and regulations concerning import and export; have put in place an appropriate system for import and export control, including security trade control; and thereby properly implement import and export procedures. We do not export to or import from any organization or individual specified on the sanction lists of Japan or other relevant countries.


    (5) Keeping of accurate accounting, and disclosure and provision of information

    We keep accurate accounting, including accounting books and accounting records, that correctly reflect the actual state of all business transactions. We provide and/or disclose correct information, including those on business activities and/or financial conditions, when any such information is required to be disclosed by laws and regulations or to be provided to stakeholders, and we do not falsify such information or make false reports.


    (6) Prevention and early discovery of misconduct

    We conduct activities to prevent misconduct and have put in place appropriate systems, such as a whistleblower system and a consultation service, to discover and respond to such misconduct at an early stage. We protect the confidentiality of whistleblowers and informers, and protect them so that they will not have fear of retribution.


    (7) Prohibition of insider trading

    We do not sell or purchase shares or other securities of companies after using and/or sharing non-public information on clients, etc. that may significantly influence investment decisions concerning said companies with the aim of obtaining personal profits.


    (8) Handling of conflict minerals

    We do not trade conflict minerals.



  2. Fair trading

    (1) Prohibition of abuse of superior bargaining position

    We comply with the Act on Prohibition of Private Monopolization and Maintenance of Fair Trade, the Act against Delay in Payment of Subcontract Proceeds, etc. to Subcontractors, and other relevant laws and regulations. We do not use a superior bargaining position over counterparties in transactions to perform acts that are considered unreasonably disadvantageous to them in light of normal business practices. We conduct procurement transactions faithfully, equally, and fairly.


    (2) Prohibition of anticompetitive practices

    We comply with the competition laws of various countries, and do not participate in cartels or engage in other practices that impede fair and free competition. We also do not make improper agreements with other companies in the same industry to restrict prices or other conditions presented to clients, or divide markets or clients, or manipulate bidding processes.


    (3) Prohibition of misleading representations

    We comply with the Act against Unjustifiable Premiums and Misleading Representations and other laws and regulations concerning labeling, and do not make false representations regarding the quality, content, price, or other aspects of products and services.


    (4) Elimination of relationships with antisocial forces

    We do not have relationships with antisocial forces, including criminal syndicates and terrorist organizations, that seek to obtain economic profits by means of violence, force, or deceptive practices, nor do we provide them with improper profits.


    (5) Respect for intellectual property rights, etc.

    We respect the intellectual property rights (patent rights, utility model rights, breeders’ rights, design rights, copyrights, trademark rights, etc.) and trade secrets or the like of third parties, and we do not infringe upon them.



  3. Human rights and labor

    (1) Prohibition of forced labor

    We employ persons based on their free will, and do not force them to work against their free will. We do not force employees to work by not correctly explaining working conditions, not paying salaries, or retaining original identification documents, or any other means.


    (2) Prohibition of child labor

    We do not employ children below the minimum working age, and we do not force children to engage in work that robs them of educational opportunities or hinders their sound growth.


    (3) Prohibition of inhumane treatment and harassment

    We respect employees’ human rights, and prohibit psychological and physical abuse, violence, bullying, coercion, and all kinds of harassment including abuse of authority, sexual harassment, and pregnancy/child-rearing discrimination, as well as any other types of inhumane treatment.


    (4) Prohibition of discrimination

    With respect to hiring, promotion, wages, education, and other treatment, we do not discriminate based on race, ethnicity, nationality, thoughts/creeds, religion, birthplace, background, sex, sexual orientation/gender identification, age, disability, etc.


    (5) Proper management of working hours

    We properly manage working hours of employees and properly grant days off and leave in compliance with the relevant statutory limits. We restrict long working hours and make efforts to improve workplace environments.


    (6) Adequate wages and allowances

    We comply with the Minimum Wage Act and other labor-related laws and regulations, and pay employees adequate wages and allowances, including allowances for overtime work and holiday work.


    (7) Respect for basic labor rights

    We respect basic labor rights by hearing the opinions of the labor union or employee representative(s) if there is no labor union that consists of a majority of employees, or by other means.


    (8) Creation of a work environment that provides job satisfaction

    In addition to complying with laws and regulations, we provide employees with opportunities to improve their skills, diverse work style options, and comfortable facilities, and create a work environment in which every employee plays an active part and can find job satisfaction.



  4. Quality and safety

    (1) Securing of product safety

    We comply with laws and regulations as well as client requirements concerning the safety of products that we manufacture, and ensure an appropriate level of safety which the relevant products should normally have.


    (2) Compliance with laws and regulations as well as rules

    We comply with all laws and regulations as well as rules concerning product quality, safety, and performance in all countries where we propose products and services.


    (3) Provision of correct product and service information

    We provide clients with correct information on products and services through safety data sheets (SDS), etc.



  5. Safety and health

    (1) Securing of workplace safety

    We identify and assess safety risks in workplaces and ensure safety there by utilizing appropriate design, technologies, and control measures. We also take appropriate safety measures for machinery and equipment.


    (2) Management of workplace environments

    We provide sanitary workplaces where employees can work healthily, safely, and free of anxiety.


    (3) Prevention of work-related injuries and illnesses, and proper response

    We identify, assess, record, and report the state of work-related injuries and illnesses and take appropriate countermeasures.


    (4) Periodic health management of employees

    We periodically check employees’ physical and mental health conditions, and appropriately manage employee healthcare, including prevention of health problems due to excessive work, and mental healthcare.


    (5) Thorough response at the time of emergencies

    To minimize impacts of emergencies, we make efforts to implement and put in place appropriate procedures, including those for reporting, notification to employees, and evacuation at the time of emergencies, as well as training, and stockpiling of foods and pharmaceuticals.



  6. Environment

    (1) Minimization of impacts on the global environment

    We comply with environment-related laws and regulations of the countries where we are located, including those concerning the prevention of air and water pollution, countermeasures against soil contamination, noise and vibration regulations, and waste disposal.


    (2) Acquisition of environment-related permits and reporting

    We acquire the permits necessary to carry out business operations, implement registration and notification, appoint qualified persons, and make necessary reports in accordance with the laws and regulations of the regions where we are located.


    (3) Operation of an environmental management system

    At places of business where an environmental management system (EMS) has been put in place, we properly operate and manage the EMS, and make continuous improvements in order to enhance environmental performance.


    (4) Control of chemical substances

    We handle and control chemical substances specified by the Industrial Safety and Health Act, the Act on the Assessment of Releases of Specified Chemical Substances in the Environment and the Promotion of Management Improvement, the Poisonous and Deleterious Substances Control Act, and other laws and regulations in a safe manner, so that such chemical substances are moved, stored, used, and disposed of properly as required by the relevant laws and regulations.


    (5) Promotion of effective use and recycling of resources

    With respect to effective use and recycling of resources, we promote reuse and recycling of products and attempt to reduce waste, thereby contributing to the realization of a sustainable environment and society.



  7. Management and protection of information

    (1) Defense against threats on computer networks

    We manage information by taking measures to defend against threats on computer networks in order to prevent damage to the company and to third parties.


    (2) Management and protection of personal information

    We comply with the Act on the Protection of Personal Information, have put in place policies on personal information protection (Basic Policy for Proper Processing of Personal Information (Privacy Policy)), and properly manage and protect the personal information of clients, employees, and other parties. We do not obtain, use, or leak such personal information illegally or improperly.


    (3) Management and protection of trade secrets and confidential information

    We properly manage and protect our trade secrets as well as confidential information received from clients and third parties, and we do not obtain, use, or leak such information illegally or improperly.
